Nest Park Terms of Service

Effective Date: April 5, 2026

Welcome to Nest Park. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Nest Park, Inc. ("Nest Park," "Company," "we," "us," or "our"). By accessing or using the Nest Park platform, website, mobile application, or any related services (collectively, the "Platform"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

1. Overview of the Platform

1.1 Marketplace Role

Nest Park operates a peer-to-peer marketplace that connects homeowners with available garage, driveway, or other parking spaces ("Hosts") with travelers seeking affordable monthly parking near major airports ("Parkers"). Nest Park is solely a technology platform and marketplace intermediary. Nest Park does not own, operate, manage, or control any parking spaces listed on the Platform.

1.2 No Parking Provider Relationship

Nest Park is not a parking lot operator, garage operator, or parking service provider. We do not inspect, maintain, secure, or supervise any parking spaces listed on the Platform. All parking arrangements are directly between Hosts and Parkers. Nest Park's role is limited to facilitating the connection between Hosts and Parkers and processing payments on their behalf.

1.3 No Agency

No agency, partnership, joint venture, or employment relationship is created between Nest Park and any User. Hosts are independent individuals offering their private property for parking use. Parkers are independent individuals seeking parking accommodations. Neither Hosts nor Parkers are employees, agents, or representatives of Nest Park.

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least eighteen (18) years of age to create an account and use the Platform. By registering, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2.2 Account Creation

To use certain features of the Platform, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.3 Account Accuracy

You agree to promptly update your account information to keep it accurate and complete. Nest Park reserves the right to suspend or terminate accounts that contain false, misleading, or outdated information.

2.4 One Account Per User

Each individual may maintain only one active account on the Platform. Creating multiple accounts to circumvent restrictions, manipulate reviews, or for any fraudulent purpose is grounds for immediate termination.

3. User Responsibilities

3.1 Host Responsibilities

As a Host, you represent and warrant that:

  • You have the legal right and authority to offer your parking space for use, including compliance with any homeowner association (HOA) rules, local zoning laws, municipal ordinances, and lease agreements.
  • Your listed parking space is accurately described, including dimensions, surface type, access restrictions, and any other material characteristics.
  • You will maintain your property in a reasonably safe condition for vehicle parking.
  • You will honor confirmed bookings and provide Parkers with reasonable access to the parking space during the agreed-upon period.
  • You are solely responsible for obtaining any permits, licenses, or insurance required to offer your space for parking use.
  • You will comply with all applicable local, state, and federal laws, including tax obligations related to income earned through the Platform.
  • You will promptly communicate any changes to the availability or condition of your parking space.

3.2 Parker Responsibilities

As a Parker, you represent and warrant that:

  • You hold a valid driver's license and are legally authorized to operate the vehicle you park in the Host's space.
  • Your vehicle is properly registered, insured, and in compliance with all applicable laws.
  • You will park only in the designated area specified by the Host and will not encroach upon neighboring properties.
  • You will not store hazardous materials, illegal substances, or any items that pose a safety risk in or around the parking space.
  • You will not perform vehicle maintenance, repairs, or any work on the Host's property without the Host's express written consent.
  • You will treat the Host's property with respect and leave the parking space in the same condition as you found it.
  • You will comply with all parking instructions and access protocols provided by the Host.

3.3 Shared Responsibilities

All Users agree to:

  • Communicate respectfully and in good faith with other Users.
  • Not engage in fraudulent, deceptive, or illegal activity on the Platform.
  • Not use the Platform for any purpose other than its intended purpose of facilitating parking arrangements.
  • Report any safety concerns, property damage, or suspicious activity to Nest Park promptly.

4. Vehicle and Property Risk Allocation

4.1 Parking at Your Own Risk

Parkers acknowledge and agree that all vehicles are parked entirely at the Parker's own risk. Nest Park does not provide any security, surveillance, insurance, or protection for vehicles parked through the Platform.

4.2 Vehicle Damage and Theft

Nest Park is not liable for any damage to, theft of, or loss involving any vehicle or personal property left in a vehicle while parked at a Host's property. This includes, but is not limited to, damage caused by weather, vandalism, theft, fire, flooding, falling objects, other vehicles, animals, or any other cause whatsoever.

4.3 Property Damage by Parkers

Parkers are solely responsible for any damage they cause to the Host's property, including but not limited to driveways, garage doors, landscaping, fences, gates, or any other structures. Parkers agree to promptly report any damage and to compensate the Host for the reasonable cost of repairs or replacement.

4.4 Insurance

Nest Park strongly recommends that:

  • Hosts maintain adequate homeowner's or renter's insurance and verify that their policy covers the use of their property for paid parking.
  • Parkers maintain comprehensive automobile insurance that covers damage, theft, and liability while the vehicle is parked at a third-party location.

Nest Park does not provide insurance coverage of any kind and makes no representations regarding the adequacy of any User's insurance coverage.

5. Payments, Fees, and Billing

5.1 Pricing

Hosts set their own monthly parking rates. Nest Park charges a service fee to facilitate transactions on the Platform. The total price, including the Host's rate and any applicable service fees, will be displayed to the Parker before confirming a booking.

5.2 Monthly Subscription Billing

Parking arrangements on Nest Park operate on a monthly subscription basis. By booking a parking space, you authorize Nest Park to charge your payment method on a recurring monthly basis until you cancel your subscription.

5.3 Payment Processing

All payments are processed through Nest Park's third-party payment processor. Nest Park collects payment from the Parker and remits the Host's portion, less applicable service fees, according to Nest Park's standard payout schedule. Hosts are responsible for any taxes owed on income received through the Platform.

5.4 Cancellation Policy

  • Parker Cancellation: Parkers may cancel their monthly parking subscription at any time. Cancellation takes effect at the end of the current billing cycle. No partial refunds will be issued for the remaining days in a billing cycle after cancellation.
  • Host Cancellation: Hosts may cancel or delist a parking space at any time, provided they honor all existing bookings through the end of the current billing cycle. Hosts must give Parkers at least thirty (30) days' notice before removing a space that has active subscribers.

5.5 Refund Policy

  • Refunds may be issued at Nest Park's sole discretion in cases of verified booking errors, material misrepresentation of a parking space, or other circumstances Nest Park deems appropriate.
  • Nest Park will not issue refunds for dissatisfaction with a parking space that was accurately described, personal scheduling changes, or circumstances beyond Nest Park's or the Host's control (e.g., weather events, road closures).
  • Refund requests must be submitted within seven (7) days of the event giving rise to the request.

5.6 Failed Payments

If a recurring payment fails, Nest Park will attempt to process the payment again. If payment cannot be collected after reasonable attempts, the parking subscription may be suspended or terminated, and the Parker must vacate the parking space.

6. Dispute Resolution Between Users

6.1 Direct Resolution

Nest Park encourages Hosts and Parkers to resolve disputes directly and in good faith. If a dispute arises regarding property damage, access issues, or any other matter related to the parking arrangement, the parties should first attempt to resolve the issue through the Platform's messaging system.

6.2 Nest Park Mediation

If direct resolution is unsuccessful, either party may request that Nest Park assist in mediating the dispute. Nest Park may, at its sole discretion, review evidence submitted by both parties and suggest a resolution. Nest Park's mediation is non-binding and provided as a courtesy. Nest Park is not obligated to mediate any dispute and is not responsible for the outcome of any dispute between Users.

6.3 Damage Claims

For property damage claims, the claiming party must provide photographic or video evidence, a description of the damage, and an estimate of repair costs. Nest Park may temporarily hold funds pending resolution of a damage claim but is not responsible for adjudicating or enforcing damage claims between Users.

7. Binding Arbitration and Class Action Waiver

7.1 Agreement to Arbitrate

You and Nest Park agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or your use of the Platform (collectively, "Disputes") shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may bring claims in small claims court if eligible.

7.2 Arbitration Procedures

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

7.3 Class Action Waiver

You agree that any arbitration or proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you and Nest Park each waive any right to a jury trial.

7.4 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to legal@nestpark.com within thirty (30) days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out of the arbitration provision.

7.5 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

8. Account Suspension and Termination

8.1 Termination by User

You may close your account at any time by contacting Nest Park support or through your account settings. Termination does not relieve you of any outstanding obligations, including unpaid fees or unresolved disputes.

8.2 Termination by Nest Park

Nest Park reserves the right to suspend or terminate your account, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or any Nest Park policy.
  • Fraudulent, misleading, or illegal activity.
  • Repeated or unresolved complaints from other Users.
  • Failure to pay amounts owed.
  • Conduct that Nest Park deems harmful to other Users, third parties, or the Platform.
  • Providing false information during registration or in listings.
  • Harassment, threats, or abusive behavior toward other Users or Nest Park staff.
  • Unauthorized use of another person's account or identity.

8.3 Effect of Termination

Upon termination, your right to access and use the Platform ceases immediately. Nest Park may retain your data as required by law or as necessary for legitimate business purposes. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 4, 7, 9, 10, and 11.

9. Indemnification

You agree to indemnify, defend, and hold harmless Nest Park, its officers, directors, employees, agents, affiliates, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of or access to the Platform.
  • Your violation of these Terms.
  • Your violation of any applicable law, regulation, or third-party right.
  • Any dispute between you and another User.
  • Any content, listing, or information you provide through the Platform.
  • Any damage to property or injury to persons arising from your actions or omissions in connection with a parking arrangement facilitated through the Platform.

This indemnification obligation shall survive the termination of your account and these Terms.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. Nest Park expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Nest Park does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEST PARK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER CAUSED BY BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF NEST PARK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.3 Cap on Liability

IN NO EVENT SHALL NEST PARK'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO NEST PARK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

10.4 Basis of the Bargain

The limitations of liability in this Section reflect the allocation of risk between the parties and are an essential element of the basis of the bargain between Nest Park and you. Nest Park would not provide the Platform without these limitations.

11. Additional Marketplace Disclaimers

11.1 No Endorsement

Nest Park does not endorse, verify, or guarantee the identity, background, or qualifications of any User. References, ratings, and reviews are provided by Users and are not independently verified by Nest Park.

11.2 No Control Over Users

Nest Park has no control over and does not guarantee the quality, safety, legality, or suitability of any parking space listed on the Platform, the truthfulness or accuracy of any listing or User content, or the ability of any User to fulfill their obligations.

11.3 Third-Party Services

The Platform may contain links to or integrations with third-party services, including payment processors, mapping services, and communication tools. Nest Park is not responsible for the availability, accuracy, or content of any third-party services and does not endorse any third-party products or services.

11.4 Force Majeure

Nest Park shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power outages, internet failures, or telecommunications disruptions.

12. Intellectual Property

12.1 Nest Park Ownership

The Platform, including its design, text, graphics, logos, trademarks, and software, is owned by or licensed to Nest Park and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Platform without Nest Park's prior written consent.

12.2 User Content License

By posting content on the Platform (including listings, photos, reviews, and messages), you grant Nest Park a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute such content in connection with the operation of the Platform.

13. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and share your information.

14. Modifications to Terms

Nest Park reserves the right to modify these Terms at any time. We will notify Users of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and close your account.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Subject to the arbitration provision in Section 7, any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, and the parties hereby consent to the personal jurisdiction and venue of such courts.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Nest Park regarding the Platform and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16.3 Waiver

Nest Park's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or any rights hereunder without Nest Park's prior written consent. Nest Park may freely assign these Terms without restriction.

16.5 Notices

Nest Park may provide notices to you via email, through the Platform, or by other reasonable means. Notices to Nest Park should be sent to legal@nestpark.com.

16.6 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.
